1. Introduction
These Terms & Conditions ("Terms") govern the use of the website Stariyo.com and the reputation management services provided by Stariyo ("Stariyo", "we", "our", or "us").
By accessing our website, requesting a consultation, signing a service agreement, or using our services, you ("Client", "you", or "your") agree to be bound by these Terms.
If you do not agree with these Terms, you should not use our website or services.
2. Services
Stariyo provides reputation management and related marketing services for businesses, including but not limited to:
• Review generation campaigns
• Customer feedback collection
• Online reputation monitoring
• Review response assistance and recommendations
• Reputation strategy and consulting
The exact scope of services, deliverables, pricing, and timelines will be outlined in a separate proposal, invoice, or written agreement between Stariyo and the Client.
Stariyo does not guarantee specific results, including but not limited to:
• A certain number of reviews
• A specific review rating
• Increased revenue or customer acquisition
• Search engine ranking improvements
Results depend on multiple factors outside our control, including customer participation, market conditions, and third-party platforms.
3. Client Responsibilities
The Client agrees to:
• Provide accurate and complete information required to perform the services
• Obtain any necessary consents from their customers before sharing customer data with Stariyo or using SMS/email review requests
• Maintain compliance with applicable laws, including privacy, marketing, and communication regulations
• Review and approve any materials or communications where approval is required
• Pay all fees according to the agreed payment schedule
The Client remains responsible for the accuracy and legality of customer information provided to Stariyo.
4. Payments and Billing
Fees for services will be provided in a proposal, invoice, or separate agreement.
Unless otherwise agreed:
• Payments are due according to the terms stated on the invoice
• Late payments may result in suspension or termination of services
• Fees paid are non-refundable except where required by applicable law
Stariyo reserves the right to modify pricing for future service periods with reasonable notice to the Client.
5. Term and Termination
Either party may terminate a service relationship according to the terms agreed in the applicable service agreement.
Unless otherwise stated in a written agreement:
• Stariyo may suspend or terminate services for non-payment, misuse of services, or breach of these Terms
• The Client remains responsible for paying any outstanding fees for services already performed
Termination of services does not remove obligations related to unpaid invoices, confidentiality, or legal compliance.
6. Third-Party Platforms and Tools
Stariyo may use third-party software, communication platforms, analytics tools, review platforms, payment processors, and other service providers to deliver its services.
We are not responsible for:
• Changes in policies, functionality, or availability of third-party platforms
• Removal or moderation of reviews by third-party review websites
• Service interruptions caused by third-party providers
The Client's use of third-party services may also be subject to those providers’ terms and policies.
7. Intellectual Property
All materials, strategies, documents, systems, and content created by Stariyo remain the intellectual property of Stariyo unless otherwise agreed in writing.
The Client receives a limited, non-exclusive license to use deliverables provided for their own internal business purposes after all applicable fees have been paid.
The Client retains ownership of their own trademarks, branding, customer data, and original materials provided to Stariyo.
8. Confidentiality
Both parties agree to keep confidential information shared during the business relationship private and to use such information only for the purpose of performing the agreed services.
This obligation does not apply to information that:
• Is publicly available through no fault of the receiving party
• Was already lawfully known by the receiving party
• Must be disclosed due to legal obligations
9. No Guarantees and Disclaimer
Stariyo provides services using commercially reasonable efforts and industry practices.
All services are provided "as available" and "as is" to the extent permitted by applicable law.
Stariyo does not guarantee:
• A specific number of positive reviews
• That customers will leave reviews
• That third-party platforms will publish or maintain reviews
• Any particular business outcome
10. Limitation of Liability
To the maximum extent permitted by law, Stariyo shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost business opportunities, or loss of data.
Stariyo’s total liability relating to the services shall not exceed the total amount paid by the Client to Stariyo during the three (3) months preceding the claim.
11. Indemnification
The Client agrees to defend, indemnify, and hold harmless Stariyo, its owners, employees, and contractors from any claims, damages, liabilities, or expenses arising from:
• Customer data provided by the Client
• The Client’s violation of applicable laws
• Unauthorized or unlawful communications sent on behalf of the Client
• False, misleading, or unlawful business claims made by the Client
12. Compliance With Communication Laws
Where services involve email messages, SMS messages, or customer outreach, the Client represents and warrants that it has obtained all required permissions and consents from recipients.
The Client is responsible for complying with all applicable laws, including anti-spam, telecommunications, consumer protection, and privacy laws.
13. Force Majeure
Stariyo shall not be responsible for delays or failures in performance caused by circumstances beyond reasonable control, including natural disasters, internet outages, government actions, cyber incidents, or failures of third-party providers.
14. Governing Law
These Terms shall be governed by and interpreted in accordance with the laws of the Republic of Slovenia, without regard to conflict of law principles.
Any disputes arising under these Terms shall be subject to the jurisdiction of the competent courts of Slovenia, unless otherwise agreed in writing.
15. Changes to These Terms
Stariyo may update these Terms from time to time. Updated versions will be published on Stariyo.com with a revised "Last Updated" date.
Continued use of our website or services after such changes constitutes acceptance of the updated Terms.
